Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of SimplShip, a shipping-label brokerage operated by SimplShip ("SimplShip", "we", "us"). By creating an account or using SimplShip, you ("Customer", "you") agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, do not use SimplShip.

2. The service

SimplShip is a shipping-label brokerage. We obtain wholesale rates from a third-party shipping provider for USPS Priority Mail and FedEx Overnight services and offer those labels to qualifying merchants at retail rates discounted from carriers' standard prices.

SimplShip does not operate as a shipping carrier. We do not directly transport or deliver packages. The actual transportation of your shipments is performed by USPS, FedEx, or other authorized carriers, and is governed by their own terms and conditions.

3. Eligibility and account responsibilities

  • You must be at least 18 years old and legally capable of entering into a binding contract.
  • You must be operating a legitimate business based in the United States and be authorized to act on its behalf.
  • You agree to provide accurate, complete information during signup and to keep that information current.
  • You are responsible for maintaining the security of your account credentials and for all activity under your account.
  • You must notify us promptly of any unauthorized access to or use of your account.

4. How quotes and pricing work

  • You submit a sample of your recent shipments (zip code, weight, current rate paid) through our intake form. We use this data only to calculate your SimplShip rate quote.
  • Quotes are generated automatically from the shipments you submit and are available to you immediately — there is no manual review step.
  • Quotes are honored at the prices shown for orders placed within 30 days of the quote being generated, subject to carrier service availability.
  • SimplShip's published rates can change. Quotes already generated are not affected by subsequent rate changes.
  • Some shipments — including military APO/FPO addresses, US territories, packages above 50 lb, hazmat, and shipments with current rates below our pricing-floor threshold — are not eligible for SimplShip quotes. The intake form will flag any non-quotable rows and explain why.

4a. Anonymous quote uploads

The SimplShip homepage offers a "Get a quote" section that lets you upload a CSV of recent shipments WITHOUT creating an account. By using this anonymous-upload flow, you agree that:

  • The data you upload (recipient names, destination addresses, weights, dimensions, current carrier prices) is processed to compute and display your savings quote.
  • The upload is stored for 30 days from the time of upload. Within that window, you may sign up for an account and complete a purchase from the saved quote without re-uploading. After 30 days, the upload is automatically deleted.
  • You represent that you have the right to upload and process the data — including any third-party recipient names and addresses contained in your CSV — and that you have obtained any consents required under applicable law before uploading.
  • You will not upload data subject to restrictions under HIPAA, FERPA, GLBA, or other regulatory regimes that prohibit your use of third-party processors without specific consent, unless you have those consents in place.
  • If you create an account within the 30-day window, your uploaded shipment data will be linked to your account and pre-loaded into your dashboard so you can complete the purchase. Once the data is linked to your account, it is governed by §5 ("Orders, billing, and payment") and the Privacy Policy's authenticated-user provisions.

5. Orders, billing, and payment

  • When you authorize an order, SimplShip dispatches the request to our shipping provider and bills you via Stripe at the per-shipment rate quoted.
  • Invoices are issued at the time of order dispatch and are payable on receipt. Failed payments will be retried automatically by Stripe; sustained payment failure may result in suspension of your account until resolved.
  • Stripe processing fees are paid by SimplShip and are not added to your invoice.
  • SimplShip currently bills only in US dollars (USD).

6. Refunds and adjustments

  • All orders are final. Once you confirm an order, labels are dispatched for fulfillment immediately and cannot be cancelled or refunded. The preview and confirm-order screens are the points at which you review and approve the order; the "Order labels" action is the point of no return.
  • Carrier issues (lost packages, transit delays, delivery exceptions, damage) are handled per the issuing carrier's loss/damage policies. SimplShip will assist in filing claims but is not the insurer of carrier-caused issues.
  • Pricing-engine errors (e.g., a quoted rate that did not honor stated savings floors) will be honored at the originally quoted price for any order placed before the error was discovered. Subsequent orders are quoted at the corrected rate.
  • Clear billing errors (e.g., a charge that does not match a confirmed order) are adjusted on a case-by-case basis directly through SimplShip support. These adjustments are issued as Stripe refunds and may take 5-10 business days to settle back to the original payment method.

7. Acceptable use

You agree not to:

  • Use SimplShip to ship hazardous materials, illegal goods, or items prohibited by the carrier's terms (USPS, FedEx, or others).
  • Attempt to access or interfere with parts of the service you are not authorized to use.
  • Reverse-engineer, scrape, or build derivative services from SimplShip's quote engine, pricing data, or rate cards.
  • Submit shipment data on behalf of third parties without their authorization, or misrepresent your business identity in any way.
  • Use SimplShip for any purpose that violates applicable US federal, state, or local law.

8. Intellectual property

SimplShip — including the application code, brand, design, content, pricing engine, and quote spreadsheets we generate for you — is owned by SimplShip and protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable license to access and use SimplShip for your own legitimate business shipping needs.

You retain ownership of the shipment data you submit. By submitting it, you grant SimplShip a non-exclusive, royalty-free license to process that data for the purpose of providing the service to you.

9. Disclaimers

SimplShip is provided "as is" and "as available." While we make reasonable commercial efforts to keep the service operational, accurate, and secure, we do not warrant that:

  • The service will be uninterrupted, error-free, or available at all times.
  • Quoted rates will always exactly match every individual order's final invoice (e.g., if a shipment's actual weight or dimensions differ from what was submitted, the carrier may apply adjustments that SimplShip will pass through).
  • Third-party carriers (USPS, FedEx) will deliver every shipment on schedule or in undamaged condition. Those obligations sit with the carrier.

To the maximum extent permitted by law, SimplShip disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall SimplShip, SimplShip, or its officers, employees, agents, or affiliates be liable to you for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, business interruption, or reputational harm — arising out of or in connection with your use of SimplShip, even if we have been advised of the possibility of such damages.

SimplShip's total cumulative liability to you for any claim arising out of these Terms is limited to the greater of (a) the total amount you paid SimplShip in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

Carrier-caused issues (lost or damaged packages, transit delays, delivery failures) are governed by the issuing carrier's terms and are not within the scope of SimplShip's liability.

11. Termination

  • You may close your account at any time by emailing us at the address in §14. Closure is effective once outstanding invoices are settled.
  • SimplShip may suspend or terminate your account if you breach these Terms, if your account is associated with fraud or abuse, if your payment method is repeatedly declined, or if continuing to provide service to you would expose SimplShip to legal or financial risk.
  • Sections that by their nature should survive termination (including §8 intellectual property, §9 disclaimers, §10 limitation of liability, §12 governing law, and §13 dispute resolution) survive termination.

12. Governing law

These Terms are governed by the laws of the state in which SimplShip is formed, without regard to its conflict-of-laws principles. The federal and state courts located in that state have exclusive jurisdiction over any disputes arising out of or related to these Terms or your use of SimplShip, except that SimplShip may seek injunctive or equitable relief in any court of competent jurisdiction.

13. Dispute resolution

Before initiating any legal action, you and SimplShip agree to attempt to resolve disputes informally by contacting the other party in writing and discussing the issue in good faith for at least 30 days. If a dispute cannot be resolved informally, it will be settled in the courts identified in §12.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email to your account email address at least 14 days before they take effect. Continued use of SimplShip after the effective date of an update constitutes acceptance of the updated Terms.
